Job Description: Overview The Paralegal researches law, investigates facts, conducts investigations, and prepares documents to assist the General Counsel by performing a variety of support duties including a broad range of corporate activities and project management with limited supervision. Essential Duties and Responsibilities Essential duties and responsibilities include, but are not limited to, any of the following assigned areas: Review and redline contracts and related documents (including amendments, proposals, representations/certifications, and non-disclosure agreements). Work with GC with advanced business law matters including business record-keeping and administrative support in connection with corporate resolutions, corporate annual reports and/or business licenses. Demonstrate advanced knowledge and a solid understanding of the practices, rules, regulations, and procedures of business law and Company corporate policies. Participate in training in order to supplement and add skills that are required for the job. Establish and maintain a legal recordkeeping system that would be commonly found in a medium-sized (or larger) law firm, including installation of dedicated software, as appropriate. Assure security of existing records. Development and maintenance of legal tracking system to ensure prompt attention to all legal matters requiring attention by department. Prepare briefs, reports and correspondence on behalf and as directed of General Counsel. Assist with discovery, investigation facts, and research or legal issues. Attend, as necessary, Board of Director meetings and other standing and ad hoc committee meetings. Maintain and utilize the timekeeping and matter management and compliance computer-based systems and provide reports, as required. Provide Inter-departmental assistance as requested. Support and, as required, lead ethics and compliance activities including investigations and compliance enforcement. Provide leadership in the development and maintenance of a corporate-wide records and information management program including policies and the development of a record retention program. Supervisory Responsibilities No supervisory responsibilities; this is an individual contributor role.  Qualification Requirements To perform this job successfully, an individual must be able to perform the essential duties in assigned area in a satisfactory fashion. Seven years of relevant Paralegal work experience. Three years of experience as a Paralegal in a corporate setting. Proficiency in Microsoft Office suite of applications. Excellent writing and proofreading skills. Excellent legal research and organization skills. Knowledge of Sophisticated professional-grade legal filing (electronic and paper) and recordkeeping systems. Microsoft Office Suite, including Word, Excel and PowerPoint (Intermediate level of proficiency). Standard filing and document control procedures. Corporate, real estate, contract and transactional law, and legal terminology. Case Management Tracking Software. Appropriate methods for drafting briefs, legal correspondence and documents. Any hardware and software that is specific to the maintaining of legal records, including legal research resources, familiarity with legal research programs (such as Westlaw) and legal tracking/monitoring software. Working in an industrial environment, to include work with multiple contractors and vendors. Skills, abilities and physical requirements Ability to be a productive member of the legal team. Ability to clearly communicate with and gain acceptance by leadership, co-workers and others. Ability to perform work with a high degree of accuracy. Ability to read and understand, and write as necessary and under supervision and direction of counsel, complex legal documents. Ability to establish and maintain a highly organized work environment. Ability to maintain required confidentiality of legal matters and other proprietary matters Ability to work overtime as required. Ability to work unsupervised as required. Ability to sit, stand, reach, stoop and lift boxes weighing as much as 25 pounds.
